1. Space contracted for herein may
not be transferred, donated, assigned, sublet or shared with others
without written permission of Eagle Productions, LLC, Show Management.
Non-exhibitors may not solicit business within the
show.
2.
Exhibits must be completely set up no later than 15 minutes prior to
opening time of Expo. Exhibits must remain staffed and set up until the
close of the show. Dismantling must be completed within one hour of
closing time of the
Expo.
3. Exhibitors shall
maintain their exhibits in a clean, orderly, manner. All sound making
equipment shall be maintained at a level that will not disturb other
exhibitors, patrons or the exhibition facility. A maximum of four
people may staff one exhibit space at any one time. Any demonstration or
activity, which results in obstruction of the aisle or other exhibits,
shall be
prohibited.
4. Exhibitor shall
be liable for any damage caused by exhibit, Exhibitor, or its agents or
employees to building, floors, walls, or any other exhibitor or show
management’s property. Exhibitor shall not nail, screw, or apply paints
or adhesives to premises. All materials used in exhibit spaces shall be
flameproof. Exhibitors wishing to use helium or other flammable
materials must have written permission from Show Management two weeks
prior to date of show, and be in compliance with local fire codes and
municipal laws. A cleaning fee may be charged if debris is left at end
of
show.
5. All literature,
samples and souvenirs distributed, and all business conducted must be
from Exhibitor’s space unless arrangements have been made in writing
with Eagle Productions, LLC two weeks prior to show. The distribution
of any article and the solicitation of business that interferes with
activities in or obstructs access to nearby exhibits or impedes aisle
traffic is
prohibited.
6. There is to be
no smoking in the exhibition area, corridor leading to exhibition area
or restrooms adjacent to the exhibition area.
7. All food and
alcoholic beverage distribution must have written approval from Eagle
Productions, LLC two weeks prior to show.
8. Goods and
services offered for sale or contract must be designated on the
“Exhibitor Information Form”, which is sent to paid Exhibitors for
completion prior to Expo. Only those items detailed on this form will be
permitted in the exhibit. All municipal and state laws must be met. No
exhibitor may advertise or distribute tickets for prizes or giveaways
which are contingent upon a purchase, nor conduct any other promotions
with obligations imposed without written permission from Show
Management.
9. Show Management
reserves the right to decline or prohibit an exhibit, which in its
opinion is not in the best interests of the show.
10. Any vehicle
that is part of an exhibit must meet the safety requirements of the
facility in which it is to be exhibited. Specifications available upon
request.
11. Exhibitor
recognizes and agrees that in signing the application for space, it is
not relying on or expecting Eagle Productions, LLC to provide any type
of security or loss prevention, and Exhibitor hereby waives any claims
or causes of action relating to any such losses or damages, including
but not limited to acts of
God.
12. Exhibitor shall
not take any action or conduct itself in any way so as to jeopardize the
safety of any participant in the show, or otherwise disrupt the
show.
13. Eagle
Productions, LLC shall not be obligated to refund any part of the fees
paid for the show in the event the Exhibitor shall cancel for any
reason. If space is not occupied by 30 minutes prior to the opening of
the Expo, such space may be assigned by Show Management as Show
Management deems appropriate in its sole discretion.
14. Exhibitor agrees
to comply with all laws, ordinances, rules and regulations including but
not limited to those promulgated by Federal, State and Local
Governments, Show Management, and the exhibition facility. Show
Management reserves the right to discontinue any exhibit in violation of
such rules and regulations and to terminate this contract in the event
of such
violation.
15. Eagle
Productions, LLC makes no representation regarding the nature or
identity of any other exhibitor who may exhibit at the Show and makes no
representation regarding whether any exhibitor will be the only
exhibitor in his or her field at an Expo
16. When any exhibit
is discontinued for violation of any of the aforementioned rules and
regulations, Exhibitor must immediately remove exhibit and personnel
from the show. Failure to do so gives Eagle Productions, LLC the right
but not the obligation to remove said property at Exhibitor’s expense,
and Exhibitor hereby waives and releases any and all causes of action or
claims of any nature arising out of such removal. All payments
previously made by Exhibitor to Eagle Productions, LLC shall be
forfeited without further obligation to Exhibitor.
17. Exhibitor
agrees to indemnify and hold harmless Eagle Productions, LLC, their
directors, agents, and employees from and against any kind of liability,
claim, loss, damage, demand, cost, fine, penalty, suit, proceeding,
expense, fee, action, and cause of action of any kind in any way
connected with the Exhibitor’s occupancy, use, or activity at the show.
18. If Eagle
Productions, LLC must cancel or terminate the show due to circumstances
beyond its control, Exhibitor agrees to waive all claims against Show
Management for damages or expenses. Exhibitor agrees to accept
Exhibitor’s pro-rata share of total exhibit fees paid by all exhibitors,
less all costs and expenses incurred by Show Management in connection
with the show as complete satisfaction and discharge of all claims
against Show Management.
19. Eagle
Productions, LLC shall have full authority to interpret and enforce all
show terms, rules and regulations contained herein, and as these may be
supplemented and amended.
